1) Acceptance of Terms
By accessing or using the website planetsdevelopment.com (the “Site”) and any related services provided by Planets Development (“Planets,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not access or use the Site or our services.
2) Definitions
- Client, “you,” or “your”: any person or entity using the Site or purchasing services.
- Services: the offerings described in Section 3.
- Deliverables: all work product, designs, code, documentation, and content provided pursuant to a service agreement.
- SOW: Statement of Work or proposal outlining specific service details, deliverables, timeline, and fees.
3) Services Offered
Planets provides:
- Landing Page Development
- Automated Business Workflow Solutions
- WordPress Website Development
- Content Creation Services (outsourced to Digitonest International Private Limited)
4) Proposals, Quotes, and Statements of Work
All Services are governed by individual proposals, quotes, or SOWs. Each SOW incorporates these Terms by reference. Any conflict between an SOW and these Terms is resolved in favor of the SOW.
5) Fees and Payment Terms
a) Fee Structure: Fees are as set forth in the applicable SOW.
b) Invoicing: Planets will invoice according to the milestones or schedule defined in the SOW.
c) Payment Terms: Invoices are due within 15 days of receipt unless otherwise agreed in writing. Late payments accrue interest at 1.5% per month or the maximum rate permitted by law.
d) Taxes: You are responsible for all taxes, duties, and fees associated with the Services, excluding taxes based on Planets’ net income.
6) Client Responsibilities
a) Access and Cooperation: Provide timely feedback, access to systems, credentials, and information necessary for Planets to perform Services.
b) Materials: Ensure all materials you supply (text, images, data) are accurate, lawful, and properly licensed.
c) Approvals: Review and approve deliverables within agreed timeframes. Delays may affect project timelines and incur additional fees.
7) Changes and Scope Creep
Requests for changes outside the agreed SOW (scope creep) require a change order. Planets will provide a written estimate of time and cost; work will commence upon your written approval.
8) Intellectual Property Rights
a) Client Materials: You retain all rights to materials you supply. You grant Planets a non-exclusive license to use them to perform Services.
b) Deliverables: Upon full payment, you receive exclusive rights to final, paid deliverables, except:
- Pre-existing Planets tools, templates, or libraries (licensed to you under a perpetual, worldwide, non-exclusive license).
- Open-source components (subject to their original licenses).
c) Planets IP: Planets retains all rights to proprietary methodologies, processes, and general know-how not specific to your project.
9) Confidentiality
Each party shall treat the other’s confidential information with the same care as its own and not disclose it except to employees or contractors who need to know and are bound by confidentiality obligations. Exclusions apply to information that is public, previously known, independently developed, or rightfully obtained from a third party.
10) Warranties and Disclaimer
a) Mutual Warranties: Each party has the authority to enter these Terms and will comply with applicable laws.
b) Limited Warranty: Planets warrants that Services will be performed in a professional, workmanlike manner. If Services breach this warranty, Planets will re-perform at no additional charge.
c) Disclaimer: Except as set forth above, Planets disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11) Limitation of Liability
To the fullest extent permitted by law, Planets’ liability for any claim arising out of or related to these Terms or Services is limited to the total fees paid by you for the Services giving rise to the claim. In no event will Planets be liable for indirect, incidental, special, punitive, or consequential damages.
12) Indemnification
You agree to indemnify, defend, and hold harmless Planets and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms;
- Your violation of applicable laws or third-party rights;
- Content you provide or request Planets to post or distribute.
13) Termination
a) For Convenience: Either party may terminate upon 30 days’ written notice; you remain responsible for fees for Services performed through the termination date.
b) For Cause: Either party may terminate if the other materially breaches and fails to cure within 15 days of notice.
c) Effect: Upon termination, you pay all outstanding invoices. Planets will deliver any completed work; incomplete deliverables are not released and are subject to full payment.
14) Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control (e.g., natural disasters, war, strikes, internet outages). The affected party must notify the other promptly.
15) Governing Law; Dispute Resolution
a) Governing Law: India.
b) Dispute Resolution: Parties will attempt informal resolution. If unresolved, disputes are subject to the exclusive jurisdiction of courts where Planets is established.
16) Assignment
You may not assign these Terms without Planets’ prior written consent. Planets may assign to an affiliate or successor.
17) Severability; Waiver
If any provision is invalid, the remainder remains in effect. Failure to enforce any provision is not a waiver of future rights.
18) Entire Agreement
These Terms, together with any SOWs, proposals, and the Privacy Policy, constitute the entire agreement and supersede prior discussions.
19) Changes to Terms
Planets may update these Terms at any time by posting a revised version on the Site. Continued use after changes constitutes acceptance.
